Governing Law & Jurisdiction

Dispute Resolution, Arbitration & Class Action Waiver
This Section requires you to resolve most disputes with US Family Mart through binding individual arbitration rather than in court. By agreeing to these Terms, you waive your right to a jury trial and your right to participate in any class action lawsuit or class-wide arbitration. You have the right to opt out of arbitration as described below.
BEFORE INITIATING ANY FORMAL DISPUTE RESOLUTION PROCEEDING, YOU AND US FAMILY MART AGREE TO TRY TO RESOLVE ANY DISPUTE INFORMALLY. THE PARTY SEEKING RESOLUTION SHALL SEND WRITTEN NOTICE TO THE OTHER PARTY DESCRIBING THE DISPUTE IN REASONABLE DETAIL AND THE RELIEF SOUGHT. THE PARTIES SHALL HAVE THIRTY (30) DAYS FROM RECEIPT OF SUCH NOTICE TO ATTEMPT TO RESOLVE THE DISPUTE INFORMALLY BEFORE EITHER PARTY MAY INITIATE ARBITRATION.
EXCEPT AS PROVIDED IN SECTION 17.4 (EXCEPTIONS), ANY DISPUTE THAT CANNOT BE RESOLVED INFORMALLY SHALL BE RESOLVED EXCLUSIVELY BY FINAL, BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) UNDER ITS CONSUMER ARBITRATION RULES (AVAILABLE AT WWW.ADR.ORG), AS MODIFIED BY THESE TERMS. THE ARBITRATION SHALL BE CONDUCTED IN ENGLISH, IN [YOUR CITY], [YOUR STATE], UNLESS THE PARTIES AGREE OTHERWISE OR APPLICABLE RULES PERMIT REMOTE HEARINGS.
THE ARBITRATOR SHALL HAVE EXCLUSIVE AUTHORITY TO RESOLVE ALL DISPUTES, INCLUDING WITHOUT LIMITATION THE ARBITRABILITY OF ANY CLAIM AND THE SCOPE, APPLICABILITY, ENFORCEABILITY, AND INTERPRETATION OF THIS ARBITRATION AGREEMENT. THE ARBITRATOR’S AWARD SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.
YOU AND US FAMILY MART EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING — WHETHER IN ARBITRATION OR IN COURT — SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, MASS ACTION, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. IF THE CLASS ACTION WAIVER IN THIS SECTION IS FOUND UNENFORCEABLE BY AN ARBITRATOR OR COURT WITH RESPECT TO A PARTICULAR CLAIM, THEN THAT CLAIM SHALL BE SEVERED FROM ANY OTHER CLAIMS AND PROCEED IN COURT, WITH ALL REMAINING CLAIMS PROCEEDING IN ARBITRATION ON AN INDIVIDUAL BASIS.
NOTWITHSTANDING THE ABOVE, EITHER PARTY MAY BRING AN INDIVIDUAL ACTION IN SMALL CLAIMS COURT FOR DISPUTES WITHIN THE JURISDICTIONAL THRESHOLD OF THAT COURT, PROVIDED THE ACTION REMAINS IN THAT COURT AND PROCEEDS ON AN INDIVIDUAL BASIS. EITHER PARTY MAY ALSO SEEK EMERGENCY INJUNCTIVE OR OTHER EQUITABLE RELIEF FROM A COURT OF COMPETENT JURISDICTION TO PREVENT IMMINENT HARM PENDING ARBITRATION, INCLUDING BUT NOT LIMITED TO RELIEF FOR INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR VIOLATION OF THE ACCEPTABLE USE POLICY.
YOU MAY OPT OUT OF THE ARBITRATION AGREEMENT IN THIS SECTION BY SENDING WRITTEN NOTICE OF YOUR DECISION TO OPT OUT TO [email protected] WITHIN THIRTY (30) DAYS OF THE DATE YOU FIRST AGREE TO THESE TERMS (OR ANY SUBSEQUENT VERSION IN WHICH THIS ARBITRATION PROVISION APPEARS FOR THE FIRST TIME). YOUR OPT-OUT NOTICE MUST INCLUDE YOUR NAME, ADDRESS, AND A CLEAR STATEMENT THAT YOU WISH TO OPT OUT OF ARBITRATION. IF YOU OPT OUT, DISPUTES SHALL BE RESOLVED IN COURT AS PROVIDED IN SECTION 16.
TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT RATHER THAN THROUGH ARBITRATION, YOU AND US FAMILY MART EACH WAIVE YOUR RESPECTIVE RIGHT TO A JURY TRIAL TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. EACH PARTY ACKNOWLEDGES THAT THIS WAIVER IS KNOWING AND VOLUNTARY AND IS MADE IN LIGHT OF EACH PARTY’S CONSULTATION WITH OR OPPORTUNITY TO CONSULT LEGAL COUNSEL OF ITS CHOICE.
General Provisions
Entire agreement: These Terms, together with the Privacy Policy, Disclaimer, and Affiliate Disclosure (all incorporated by reference), constitute the entire agreement between you and US Family Mart regarding your use of the Website, and supersede all prior agreements, representations, and understandings, whether written or oral.
Severability: If any provision of these Terms is held to be invalid, unenforceable, or illegal by a court or arbitrator of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms will continue in full force and effect.
No waiver: Our failure to enforce any right or provision of these Terms shall not be construed as a waiver of that right or provision. A waiver of any term of these Terms will be effective only if it is made in writing and signed by an authorized representative of US Family Mart.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. US Family Mart may assign these Terms in connection with a merger, acquisition, sale of assets, or operation of law, without your consent.
No third-party beneficiaries: These Terms do not and are not intended to confer any rights or remedies on any person or entity other than you and US Family Mart.
Section headings: Headings in these Terms are for convenience only and do not affect the interpretation or legal significance of any provision.
Force majeure: US Family Mart shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, government action, internet outages, or third-party platform failures.
